1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and DealScheme, Inc. ("DealScheme," "we," "us," or "our"), governing your access to and use of the DealScheme website, mobile applications, and related services (collectively, the "Service").

By creating an account, submitting a deal, posting a comment, or simply browsing DealScheme, you confirm that you are at least 13 years of age and agree to these Terms and our Privacy Policy. If you are between 13 and 18, you may only use the Service with parental or guardian consent.

2. Description of Service

DealScheme is an online platform that aggregates, curates, and publishes deals, discounts, coupons, and promotional offers from third-party retailers and brands. The Service includes:

• A publicly accessible deal database updated in real time
• Community features including deal voting, comments, and submissions
• Price alert and newsletter notification services
• Affiliate links to third-party retailer websites
• Deal submission tools for registered users

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

3.1 Registration

You may browse DealScheme without an account. To submit deals, comment, or vote, you must register. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@dealscheme.com if you suspect unauthorized access to your account.

3.3 One Account Per Person

You may maintain only one active account. Creating multiple accounts to manipulate votes, gaming deal rankings, or circumvent bans is strictly prohibited and may result in permanent termination of all associated accounts.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any conduct we determine to be harmful to the platform or its users.

4. Deal Submissions & User Content

4.1 Submission Standards

When submitting a deal, you represent and warrant that:

• The deal is genuine, currently available, and accurately priced
• You have personally verified the deal or have reliable reason to believe it is valid
• The deal does not violate any retailer's terms of service
• You are not affiliated with the retailer unless clearly disclosed
• The deal does not involve counterfeit, illegal, or prohibited products

4.2 License to User Content

By submitting content (deals, comments, images, descriptions) to DealScheme, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, display, and distribute your content in connection with the Service.

4.3 Content Moderation

We reserve the right to remove, edit, or reject any deal submission or comment that violates these Terms or that we determine, at our sole discretion, is inappropriate, misleading, or harmful. We are not obligated to review all content before it is posted.

4.4 Prohibited Content

You may not post content that:

• Is false, misleading, or fraudulent
• Infringes any intellectual property, privacy, or other rights
• Contains spam, unsolicited advertising, or self-promotional material without disclosure
• Is hateful, discriminatory, threatening, or harassing
• Violates any applicable law or regulation
• Contains malicious code, viruses, or harmful software
• Involves unauthorized affiliate or referral codes

5. Affiliate Disclosure & Pricing

5.1 Affiliate Relationships

DealScheme participates in affiliate marketing programs. When you click a deal link and make a purchase, we may receive a commission from the retailer at no additional cost to you. This commission helps us maintain the platform and keep it free for users.

5.2 Price Accuracy

Prices, availability, and deal terms are set by third-party retailers and are subject to change without notice. DealScheme makes reasonable efforts to ensure accuracy but does not guarantee that any price, discount, or deal will be available when you visit the retailer's website.

5.3 No Price Guarantee

We do not guarantee the lowest price on any product. Price history data is provided for informational purposes only. Always verify the current price on the retailer's website before making a purchase.

6. Intellectual Property

6.1 DealScheme Property

The DealScheme name, logo, website design, software, and all original content created by our team are the exclusive property of DealScheme, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

6.2 Third-Party Content

Product names, brand names, images, and logos belong to their respective owners. Their appearance on DealScheme does not imply endorsement. Retailer names are used for identification purposes under nominative fair use.

6.3 DMCA

If you believe your copyrighted work has been posted on DealScheme without authorization, please send a DMCA takedown notice to dmca@dealscheme.com with the required information under 17 U.S.C. § 512(c)(3).

7. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Scrape, harvest, or extract data from DealScheme without written permission
• Use automated bots, crawlers, or scripts to access or interact with the Service
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any system or network
• Use the Service to send unsolicited communications
• Misrepresent your identity or affiliation
• Reverse engineer or decompile any part of the Service
• Use the Service to compete with DealScheme without our written consent

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any deal will be available at the posted price; (c) products purchased through deal links will meet your expectations; or (d) any defects in the Service will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALHUNTER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL DEALHUNTER'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DEALHUNTER IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

10. Indemnification

You agree to defend, indemnify, and hold harmless DealScheme and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Third-Party Links & Services

DealScheme contains links to third-party websites. We have no control over those sites and are not responsible for their content, privacy practices, or products. Clicking a deal link takes you to a retailer's website governed by their own terms. We encourage you to review those terms before making any purchase.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall first be submitted to informal negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration under the AAA Commercial Arbitration Rules, conducted in New York, NY. You waive the right to participate in class action lawsuits.

13. Changes to These Terms

We may update these Terms at any time. We will notify registered users by email and post the updated Terms with a new "Last Updated" date. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

14. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and DealScheme.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full effect.
• No Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a corporate transaction.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
